License Agreement

This License Agreement describes the general terms applicable to the licensing and use of Syncall Systems software products and related services. It is intended to define the main rights, restrictions, and obligations associated with the authorized use of the software.

1. Grant of license

Subject to the applicable commercial agreement, purchase order, or subscription arrangement, the customer receives a non-exclusive, non-transferable, and limited right to use the licensed software for its internal business or institutional operations.

2. Authorized use

The software may be used only within the scope defined by the applicable agreement, including any limits related to users, institutions, devices, locations, or service capacity.

3. Restrictions

Unless expressly authorized in writing, the customer may not resell, sublicense, redistribute, reverse engineer, or make the software available to third parties beyond the agreed operational context.

4. Support and maintenance

Support scope, update eligibility, maintenance coverage, and service levels are governed by the relevant commercial or maintenance agreement associated with the licensed solution.

5. Intellectual property

All intellectual property rights in the software, related documentation, branding, visual assets, and associated materials remain the property of Syncall Systems or its licensors.

6. Warranties and liability

Any warranties, limitations of liability, implementation responsibilities, and applicable exclusions are governed by the contract or commercial agreement concluded with the customer.

7. Term and termination

The license remains valid for the agreed term and may terminate automatically upon breach of its conditions or expiry of the applicable subscription or agreement.
